Request to call the shareholders' meeting

Subject: Application to the Board of the Community for the convocation of the ordinary assembly of the Participants for the renewal of the corporate offices, the approval of the financial statements and evaluations on the sewerage project.
Ladies and Gentlemen,
ATCP has decided to join the initiative, promoted by the “Amici di Costa Paradiso” group, to request the convening of the meeting in question, as the mandate of the current corporate bodies is now close to expiry. The initiative has become urgent and necessary, following the leaked indiscretion, that it would be the intention of the BoD to convene the ordinary meeting of the Participants in the month of August, if the Municipality does not intend to abstain from voting in the meeting (we remind you that a Trinità will be held elections for the new mayor in June 2016).
Although a meeting in August is welcome to many to encourage broad participation and is allowed from the regulation to call the meeting itself within four months from the closing date of the financial statements, the extension of the mandate of the current BoD by four months would be completely inappropriate, considering that it cannot operate except to guarantee ordinary administration, being, now reduced to four members, compared to the original composition of nine. This serious situation has been dragging on for five months now due to the refusal of the Chairman of the BoD to call an additional assembly, as required by art. 59 of our regulation. Imagining to postpone a phase of substantial decision-making immobility, which has lasted for a year, without valid reasons, would be extremely disrespectful towards all the participants, who have the right to have a representative body invested with the fullness of its powers, especially in a moment in which would require a strong and legitimized Board of Directors.
The objective of the initiative promoted by the “Friends of Costa Paradiso is to send a number of requests to the Community offices, such that it represents 10% of the owners of real estate units in Costa Paradiso. 10% should be understood in the sense that it must consist of approx. 200 owners who with their shares represent 1000 ten thousandths.
The collection of adhesions to these initiatives follows the same procedures used by the Community for the collection of proxies.
